Abstract
It was intended to investigate the reasons why organizations implement management tools in management models in their business. It is assumed that the reasons are not just technical, and financial gains linked to organizations compete not just for resources and customers, but for political power and institutional legitimacy. The study was conducted in two family companies of dairy branch in Viçosa-MG. The research was based on qualitative and descriptive character, conducting interviews directly with managers and informal con- versations with employees. The speeches of the managers of both companies show that they are in search for legitimacy, since they consider the behavior of the environment in which they operate in the choice of institutionalized practices. It can be concluded that organizational changes occur not simply because of the needs of efficiency or competition, but as a result of processes that make organizations more homogeneous.
